Introduction

By accessing and using the Talk of The Town Tutors website you agree to the following terms and conditions. These terms and conditions govern your use of our website; by using our website, you accept these terms and conditions in full. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use our website. 

Although the upmost care has been taken to ensure the accuracy of the information on the Talk of The Town Tutorsweb site, information on the site is provided without any representation or guarantee and in no event shall Talk of The Town Tutors be liable in connection with the use of the information made available, unless specifically stated otherwise. Talk of The Town Tutors do not guarantee that the Web Site or the server, which make this Web Site accessible, are free from viruses or any other harmful elements.

The Website may provide links to other web sites, which are not under the control of Talk of The Town Tutors. They shall not be responsible in any way for any of the content of such other web sites. Talk of The Town Tutors provides such links only as different opportunities, and the inclusion of any such web sites does not imply endorsement or recommendation by them of the content of such sites.

The users should not create a link to this website from another website or document without Talk of The Town Tutors Ltd prior written consent. These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom.

Clients

Talk of The Town Tutors acts as agent on behalf of their tutorsand will introduce the tutor to the Client. In order to continuewith Talk of The Towns Tutor’s services, for security purposes the Client must provide at least two methods of contact (one correct and working email address, and one recent phone number – mobile or land line). Unfortunately, Talk of The Town Tutors well be unable to provide a Tutor without these supplied contact methods. There will be no exceptions to this request. 

Fees and Payment

The charge and amount process will be under the control of Talk of The Town Tutors, who shall send an invoice as soon as the Client has agreed on the initial tuition session or series of tuition sessions, however other arrangements of payment may be mutually agreed in writing prior to any charge or sessions. Payments must be made to Talk of The Town Tutorsbefore the lesson starts. The fees will be calculated at a rate agreed in advance between the Client and Talk of The Town Tutors on a 50 minute session (other session lengths are available), and based upon the agreed arrangements with the Tutor and Client. Talk of The Town Tutors will provide email confirmation once payment has been received. Payments must not be made directly to the Tutor at any time (unless agreed in advance in writing with Talk of The Town Tutors). Talk of The Town Tutors reserve the right to claim back any payments which were made without our knowledge. 

For the first lesson, Talk of The Town Tutors charges for the first session upfront, and this payment acts as confirmation of the session. No session or tuition will take place until receipt of this payment has been confirmed by Talk of The Town Tutors and email confirmation has been sent. After the first payment has been made, Talk of The Town Tutors will invoice the client in arrears - weekly.

Talk of The Town Tutors reserves the right to request the Client’s credit or debit card details to use for payments. Any credit or debit card details that the Client supplies will be held securely and may be charged in the event of late or non-payment. As such, Talk of The Town Tutors reserves the right to take payment for invoices from any payment card we may hold from the Client. Any credit or debit card details that you supply will not be passed on to any third party.

Expenses

All expenses (travel, books, stationary and sundries) must be agreed between the Tutor, the Client and Talk of The Town Tutors in advance. All agreed expenses will be added to the fortnightly invoice as an ‘ad hoc charge’. Any equipment (including books, supplies or stationary) purchased by the Tutor, which are not agreed upon by the Client, will not be reimbursed by the Client or by Talk of The Town Tutors. Weask that, where possible, all receipts - for the above supplies - are kept by the Tutor for the correct reimbursement. We also ask that these expenses are agreed in writing where possible to avoid any disagreement or disputes between Tutors or Clients.  

Non – solicitation

The Client is not permitted to make any private or informal arrangements for tuition with a Tutor introduced by Talk of The Town Tutors. Should a Client breach this obligation, they will be liable to account to Talk of The Town Tutors for all monies paid to the Tutor without deduction and they will be entitled to obtain an injunction against a Client to prevent further breaches. This obligation will continue notwithstanding cancellation of this agreement. 

Liability

Talk of The Town Tutors do not accept any liability for any claims by the Client arising out of or related to the carrying out of the tutoring by a Tutor introduced by Talk of The Town Tutors.

General

Talk of The Town Tutors reserves the right to change these terms and conditions without any prior notice or warning. Unless otherwise agreed in writing by a Director of Talk of The Town Tutors, these terms and conditions will succeedover any other terms of business or conditions put forward by the Client. No variation or changes of these terms and conditions well be valid unless approved in writing by a Director of Talk of The Town Tutors.

 

 

Approval

Acceptance for any of our services will be taken to represent agreement to these Terms and Conditions.

Tutors

Our tutors are all self-employed and are responsible for paying their own taxes.

The following arrangements are understood and agreed by both parties:

General

Once a tutoring position has been confirmed (in writing and email), you are entering into a contract between you (the tutor) and the client (the student, or the student’s parent/guardian). Talk of The Town Tutors acts as an agent on behalf of the Client and the Tutor. Talk of The Town Tutors is only responsible for finding clients and an appropriate teacher for the specific assignment, and they are not responsible for the content of lessons and the teaching methods, however the content is reviewed regularly.  

Private Arrangements

In consideration of Talk of The Town Tutors providing you with Clients, you are not allowed (in any circumstances) to make any private arrangements for tuition with clients introduced by Talk of The Town Tutors or with new clients introduced by their clients. Should you breach this commitment, you will be liable to account to Talk of The Town Tutors for all monies received by you from the client/new client without deduction and Talk of The Town Tutors shall be entitled to obtain an injunction against you to prevent further breaches. This commitment shall continue notwithstanding cancellation of this Agreement. Any work referred to a Tutor by a Client of Talk of The Town Tutorsmust be payable through Talk of The Town Tutors on your behalf. Talk of The Town Tutors is happy to negotiate on commission for new clients referred to you by our clients but Talk of The Town Tutors must process the billing.

Environment

You and the client are wholly responsible for finding and agreeing on a suitable environment in which tuition can take place.

Payment

Talk of The Town Tutors will agree the fee and structure with the client and this will not be changed without any agreement or written authority with Talk of The Town Tutors. As part of this service, Talk of The Town Tutors will collect the fees due from Client and pass them on to you, net of a commission. Talk of The Town Tutors invoices clients on behalf of their Tutors, based on the arrangements of the Client. Payments to the Tutors will only be made once the invoices and payments have been paid by the Client. Please ensure that you fill in your time sheets correctly after each lesson. If you are late completing these or there are any incorrect details on them your payment could be delayed.

You must keep all of your time sheet up to date. Talk of The Town Tutors recommends that tutors keep a signed and detailed record of all lessons they have taught (or cancelled with less than 24hrs notice) and expenses agreed with client (signed by client after each lesson). We do not need to see this but if a client disagrees with some hours that are invoiced we will not be able to pay tutors if this record has not been signed by the Client. 

You will not be paid by the client directly. Talk of The Town Tutors will send an invoice to the client, on behalf of Tutor assoon as arrangement is agreed. You will not receive your payment until Talk of The Town Tutor has received payment from the Client. If they do not receive payment in reasonable time, Tutors may obtain written permission from a Director of Talk of The Town Tutors to invoice the client directly. You must not accept any payment direct from the client without the written or emailed permission of a Director of Talk of The Town Tutors. If you do so, all monies or payments received by you will be immediately payable to Talk of The Town Tutors and will be actionable through the Courts without further notice to you.

You undertake to Talk of The Town Tutors that you will pay the tax and national insurance contributions which are due from you whether in the United Kingdom or anywhere else in relation to the payments made to you by them. Under this agreement and you further agree to indemnify Talk of The Town Tutors in respect of all and any income tax and national insurance contributions which may be found due from Talk of The Town Tutors on any payments made to you under this agreement together with any interest, penalties or gross-up thereon.

For the purposes of record keeping, you will account for the full fees due from the student as income and the commission as expenditure.

Expenses

Talk of The town Tutors will not deal with any expenses between Tutors and Clients for: travel, learning materials orother cost outside the fees quoted to Clients by the company. Such expenses, if applicable, are to be dealt with between the Clients and Tutor privately.

Cancellation policy

The Tutor and Client must notify the other in advance of any holiday commitments they may have; and any changes to the timetable because of illness or inconvenience. Another convenient date will be arranged. 24 hours cancellation notice of any session must be given by the Client, under which Talk of the Town Tutors charges them if they cancel the lesson. Tutors are entitled to 100% of the agreed session payment to them if the Client cancels within 24 hours, without any mitigating circumstances provided.

Damages

Talk of The Town Tutors will not accept any liability for any claims by the Client arising out of or related to the carrying out of the tutoring sessions by you and you agree to indemnify Talk of The Town Tutors without limit in respect of any such claims.

Confidentiality

You undertake that you shall not at any time during this agreement, and for a period of five years after termination of this agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of Talk of The Town Tutors, except that you may disclose Talk of The Town Tutors confidential information as may be required by law, court order or any governmental or regulatory authority. 

You will not use Talk of The Town Tutors confidential information for any purpose other than to perform your obligations under this agreement.

Data Protection Act

Talk of The Town Tutors uses tutor data for the purposes of the services that it provides. Tutors providing personal data consent to the use of that data by Talk of The Town Tutors for the purpose of effecting introductions to Clients, for billing and fee collecting purposes and to enable Talk of The Town Tutor to contact the tutor from time to time.

Talk of The Town Tutors reserves the right to alter these terms and conditions. Athena Tuition will, however, notify you in writing or by email of any changes that they need to make.

Unless otherwise agreed in writing by a Director of Talk of The Town Tutors, these Terms and Conditions will succeedover any other terms of business or conditions put forward by you.

No variation or alteration of these Terms and Conditions shall be valid unless approved in writing or email by a Director of Talk of The Town Tutors.

Approval
